Terms of Service

Welcome to Incidion. These Terms of Service ("Terms") govern your access to and use of Incidion's website, products, and services ("Services"). Please read these Terms carefully before using our Services.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By creating an account or using our Services, you represent that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Incidion provides infrastructure monitoring, incident management, and status page services. Our Services include:

  • Uptime monitoring and alerting
  • Incident management and tracking
  • Public and private status pages
  • API access and integrations
  • Related tools and features

3. Account Registration

To use our Services, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Transmit malware, spam, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with the proper functioning of our Services
  • Use our Services for competitive analysis
  • Resell or redistribute our Services without authorization

5. Payment and Billing

Fees

Certain features of our Services require payment of fees. You agree to pay all applicable fees as described on our pricing page. Fees are non-refundable except as required by law or as expressly stated in these Terms.

Billing

We will bill you in advance on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew unless you cancel before the renewal date.

Price Changes

We reserve the right to change our fees with 30 days' notice. Continued use of our Services after a price change constitutes acceptance of the new fees.

6. Intellectual Property

Our Rights

Incidion and its licensors retain all rights, title, and interest in and to our Services, including all intellectual property rights. These Terms do not grant you any rights to use our trademarks, logos, or branding.

Your Content

You retain ownership of any content you submit to our Services. By submitting content, you grant us a worldwide, non-exclusive license to use, host, store, and display that content as necessary to provide our Services.

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using our Services, you consent to such processing and warrant that all data provided by you is accurate.

8. Service Level Agreement

For paid plans, we commit to a 99.9% uptime SLA. Details of our SLA, including credits for downtime, are available at our documentation. The SLA does not apply to free plans or trials.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCIDION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO INCIDION IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Incidion and its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising from your use of our Services or violation of these Terms.

12. Termination

You may terminate your account at any time through your account settings. We may suspend or terminate your access to our Services if you violate these Terms or for any other reason with 30 days' notice.

Upon termination, your right to use our Services will cease immediately. We may retain certain information as required by law or for legitimate business purposes.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes at least 30 days before they take effect. Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or your use of our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.
